TELETRACKING SOFTWARE END OF LIFE POLICY

This document communicates TeleTracking’s Software End of Life Policy (“End of Life Policy”) with its clients provided that (1) client is in compliance with the TeleTracking Subscription and License Agreement or other governing license or subscription agreement, as applicable (the “TSLA”) for the Software covered by this End of Life Policy, and (2) client is otherwise current on all applicable subscription, license, and support fees therefor.  As used in this End of Life Policy, the term “Software” refers to the applicable licensed software or subscription service procured by client under the TSLA and “client” refers to the client or client affiliate that has procured the applicable Software under the TSLA.

1. End of Life Notice:  TeleTracking reserves the right to retire or otherwise discontinue any Software version or product (“End of Life”) and to terminate any license, subscription, or support for such Software, at its sole discretion, upon at least eighteen (18) months notification from TeleTracking of the End of Life date (“EOL Date”). 

2. End of Life Support:  All technical support for Software will cease as of the EOL Date.

3. Licensed Software End of Life:  For licensed software installed at a client site:

(a) Software Version End of Life.  Client may (i) continue using the End of Life version of the Software without support following the EOL Date through the end of its then-current license term without renewal, at its own risk, or (ii) upgrade to a new Software version, subject to applicable fees.

(b) Software Product End of Life.  Client may (i) migrate to a new Software product, if available, subject to applicable fees, (ii) terminate the remainder of its then-current license term upon thirty (30) days’ written notice to TeleTracking and receive a pro-rata refund of any pre-paid license and support fees for the Software after termination, or (iii) if mutually agreed in writing with TeleTracking, continue using the End of Life Software product without support following the EOL Date through the end of its then-current license term without renewal, at its own risk. 

4. Subscription Services End of Life:  For Software provided to client as a subscription service:

(a) Software Version End of Life.  TeleTracking subscription services receive updates and upgrades from TeleTracking regularly with the current version replacing previous versions in the TeleTracking hosting environment so that all clients can maintain the most current supported version. 

(b) Software Product End of Life.  Client may (i) migrate to a new Software product, if available, subject to applicable fees, or (ii) terminate the remainder of its then-current subscription term upon thirty (30) days’ written notice to TeleTracking and receive a pro-rata refund of any pre-paid subscription and support fees for the Software after termination.
